Terms & Conditions

1. Introduction

These Terms & Conditions (“Terms”) govern the purchase and use of the Relevanssi Premium plugin and all associated services provided by eurodata comesio solutions GmbH, a limited liability company registered in Austria (hereinafter referred to as “we”, “us”, or “our”).

By purchasing a license or installing/using Relevanssi Premium, you confirm that you have read, understood and fully agree to these Terms. If you do not agree to any part of these Terms, you must not purchase or use the plugin.

3. License Grant

Relevanssi Premium is licensed under the GNU General Public License v3 or later (GPLv3+). In addition to the GPL rights, the following commercial license terms apply:

  • You receive a non-exclusive, non-transferable, limited license to install and use Relevanssi Premium on the exact number of websites covered by your purchased license type.
  • Annual licenses include access to all updates and priority support for 12 months from the date of purchase.
  • Permanent (Lifetime) licenses include perpetual updates and priority support for the lifetime of the current major version.
  • Upon expiration of an Annual license, you may continue using the last downloaded version, but you will lose access to further updates, new features and priority support.
  • We explicitly do not guarantee future compatibility with new WordPress versions or third-party plugins after license expiration.

The license is personal to the purchaser and may only be transferred to another legal entity with our prior written consent.

4. Types of Licenses & Pricing

We offer Annual and Permanent licenses. All prices are displayed exclusive of VAT. We reserve the right to change prices at any time. Such changes do not affect licenses already purchased and paid for.

5. Payment & Merchant of Record

All payments are processed exclusively by Paddle.com, who acts as our Merchant of Record. Paddle is responsible for billing, VAT handling, payment processing, refunds and customer service regarding the payment process.

We do not store any credit card or payment details. You agree to Paddle’s terms in addition to these Terms.

6. Updates, Support & Service Levels

Active license holders are entitled to updates and priority support during the license term. Support is provided in English via our ticket system.

We endeavour to respond to support requests within 48 business hours, however this is a best-effort service and no guaranteed response time is given. We reserve the right to limit or refuse support in cases of abusive behaviour or excessive requests.

7. Warranties & Disclaimers

Relevanssi Premium is provided on an “as is” and “as available” basis. To the maximum extent permitted by Austrian law, we expressly disclaim all warranties, whether express, implied or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that the plugin will be error-free, uninterrupted, secure, or compatible with all third-party plugins or future WordPress versions. Any use of Relevanssi Premium is at your own risk.

8. Limitation of Liability

To the fullest extent permitted by Austrian law, the liability of eurodata comesio solutions GmbH for any damages arising out of or in connection with these Terms, the Relevanssi Premium plugin or its use is strictly limited to the net amount actually paid by the customer for the respective license in the twelve (12) months immediately preceding the event giving rise to the claim.

Under no circumstances shall eurodata comesio solutions GmbH be liable for:

  • indirect, consequential, incidental, special, punitive or exemplary damages of any kind;
  • loss of profit, revenue, anticipated savings, business opportunities, goodwill or data;
  • damages resulting from business interruption, system downtime, loss of use or production;
  • any damages arising from incompatibility with third-party plugins, themes, WordPress core updates or future software versions;
  • any damages caused by viruses, malware, hacking or security breaches, unless proven to be caused by gross negligence on our part;
  • any damages resulting from the customer’s failure to implement recommended updates or security measures.

This limitation of liability applies even if we have been expressly advised of the possibility of such damages and even in the event of a fundamental breach of contract.

The above limitations shall not apply in cases of:

  • intentional misconduct (Vorsatz) or gross negligence (grobe Fahrlässigkeit) on our part;
  • personal injury or death
  • liability under the Austrian Product Liability Act (Produkthaftungsgesetz – PHG), which cannot be contractually excluded.

Any further claims for damages or compensation are expressly excluded.

9. Termination

We may terminate or suspend your license with immediate effect if you materially breach these Terms. Upon termination you must immediately cease all use and delete all copies of the plugin.

Annual licenses automatically expire after 12 months unless renewed. Permanent licenses remain valid for the lifetime of the major version purchased.

10. Intellectual Property

All intellectual property rights in Relevanssi Premium, including but not limited to source code, design, trademarks, logos and documentation, remain exclusively with eurodata comesio solutions GmbH. You are granted only the limited usage rights expressly set out in these Terms.

You may not reverse engineer, decompile, disassemble, modify, create derivative works, or remove any copyright or license notices from the plugin, except to the extent expressly permitted by the GPLv3.

11. Data Privacy & GDPR

We process all personal data in strict compliance with the General Data Protection Regulation (GDPR) and the Austrian Data Protection Act. Detailed information can be found in our Privacy Policy.

By using Relevanssi Premium you consent to the data processing described therein.

12. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated to you by email at least 30 days before they take effect. Continued use of the plugin after the effective date constitutes acceptance of the revised Terms.

13. Governing Law & Jurisdiction

These Terms shall be governed exclusively by Austrian law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Vienna, Austria.

14. Severability & Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms constitute the entire agreement between you and us and supersede all prior agreements.
